Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the CORE platform at core.ocidm.io (the "Service"), operated by OC Interactive Digital Agency Corp. ("OCIDM", "we", "us"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

CORE provides AI-assisted tools to plan, generate, and publish marketing and social-media content, along with related analytics and account features. We may add, change, or remove features at any time.

2. Eligibility & accounts

  • You must be at least 18 years old to use the Service.
  • You are responsible for the accuracy of your account information and for keeping your credentials secure. You are responsible for all activity under your account.
  • Notify us promptly at support@ocidm.io of any unauthorized use.

3. Subscriptions, billing & refunds

  • Paid plans are billed through Stripe on a recurring basis (monthly or annually) until canceled. By subscribing, you authorize us to charge your payment method on each renewal.
  • Cancellation: you may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then, and your plan does not renew thereafter.
  • Refunds: except where required by law, payments are non-refundable. We may, at our discretion, issue full or partial refunds or account credits.
  • Price changes: we may change prices; changes apply to future billing periods and we will give reasonable notice.
  • Taxes: stated prices may exclude applicable taxes, which you are responsible for.

4. Your content & license

You retain ownership of the inputs and content you provide ("Your Content"). You grant us a limited, non-exclusive license to host, process, and transmit Your Content solely to operate and improve the Service and to perform the actions you request (such as generating outputs and publishing to platforms you connect).

You represent that you have the rights to Your Content and that it does not infringe others' rights or violate any law. You are solely responsible for Your Content and for anything you publish through the Service.

5. AI-generated output

The Service uses third-party AI to generate content. AI output may be inaccurate, incomplete, biased, or resemble existing material, and is not professional, legal, financial, or other advice. You are responsible for reviewing, editing, and verifying all output before relying on or publishing it. To the extent permitted by law, we make no warranty regarding the accuracy, originality, or fitness of AI output, and you assume all risk of its use.

6. Third-party platforms

The Service can connect to and publish on third-party platforms (e.g., LinkedIn, Facebook, Instagram, X). Your use of those platforms is governed by their terms and policies, and you must comply with them. We are not responsible for third-party platforms, including any changes, outages, content moderation, or account actions (such as suspensions) they take.

7. Acceptable use

You agree not to use the Service to:

  • violate any law or the rights of others, or publish unlawful, infringing, defamatory, hateful, deceptive, or spam content;
  • generate or distribute content that violates a connected platform's rules;
  • attempt to breach security, reverse-engineer, scrape, overload, or disrupt the Service;
  • resell or provide the Service to third parties except as expressly permitted by your plan; or
  • misrepresent AI-generated content in a way that deceives others.

8. Intellectual property

The Service, including its software, design, and content (excluding Your Content), is owned by OCIDM and its licensors and is protected by intellectual-property laws. We grant you a limited, non-transferable, revocable right to use the Service per these Terms.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OCIDM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify and hold OCIDM harmless from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your published content, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or others. On termination, your right to use the Service ends; sections that by their nature should survive (e.g., ownership, disclaimers, liability limits, indemnity) survive.

13. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with a new "Last updated" date; continued use after changes means you accept them.
